SEC rolls out online company registration simulator

The Securities and Exchange Commission (SEC) has introduced a free online platform that allows entrepreneurs to practice and simulate the company registration process before submitting actual applications, in a move aimed at easing the experience of starting a business in the Philippines.

Launched under the SEC’s newly enhanced SEC Academy portal, the Company Registration Simulation tool mirrors the steps required in the Electronic Simplified Processing of Application for Registration of Company (eSPARC) system and guides users in creating accounts under the Electronic SEC Universal Registration Environment (eSECURE).

According to the commission, the simulation allows users to explore the full process of registering different types of entities — including one person corporations, domestic or foreign stock and non-stock corporations, branch offices, and representative offices — without the pressure of submitting official information. Entrepreneurs can test entries, understand system requirements, and identify needed documents prior to filing.

By giving applicants room to experiment with the platform, the SEC expects fewer rejected or stalled applications due to incomplete or incorrect submissions. This, it said, will help reduce traffic in the actual eSPARC system and allow personnel to focus on complete and compliant filings.

“As the SEC continues to transform the business registration process and shift services online, we want to ensure that it remains easy and accessible to all entrepreneurs, whether they are tech-savvy or not,” SEC chairperson Francis Lim said.

“With the launch of the Company Registration Simulation, we aim to demonstrate that registration is simple and straightforward, hopefully empowering entrepreneurs to confidently take the first step in incorporating their business.”

The tool also includes a simulation of the Electronic Submission Authentication Portal (eSAP), which has allowed applicants since July 2024 to digitally authenticate system-generated documents instead of submitting hard copies with wet signatures.

Additionally, users can generate tentative fee assessments based on authorized capital to better prepare their requirements.

Beyond registration, the simulation supports practice creation of eSECURE accounts, enabling users to navigate the system without completing full credentialing.

The initiative forms part of the SEC’s broader campaign to widen access to its services through the SEC Academy, which offers free online courses on personal finance, business management, investing, and fraud avoidance.
