The Securities and Exchange Commission (SEC) has released a new digital resource that brings together all updates to the country’s securities regulations from 2000 to 2026.
Published on May 8, the “Annotated Consolidated Reference of the 2015 Implementing Rules and Regulations (IRR) of Republic Act No. 8799, or the Securities Regulation Code (SRC)”, is now available on the SEC website.
The SRC, enacted in 2000, gives the commission authority to regulate the capital market, protect investors from fraud and manipulation, and ensure transparency in disclosures.
Since the rollout of the 2015 IRR, the SEC has issued more than 60 Memorandum Circulars (MCs) to address market developments and align local rules with international standards. These issuances have introduced amendments, clarifications, and operational guidance.
SEC chairperson Francis Lim said the consolidated reference was necessary given the growing volume of updates:
“The continuing evolution of the capital market requires regulations that are not only responsive and robust, but also accessible and easy to navigate. While the 2015 SRC IRR has been progressively enhanced over time, we acknowledge that the current volume of updates necessitates a centralized, digital-ready reference,” Lim said.
The new resource consists of two parts:
- Annotated 2015 SRC IRR – integrates amendments directly into the IRR text, with footnotes referencing MCs that provide guidance but do not amend rules.
- Reference Index – categorizes MCs by subject matter, issuance number, and corresponding SRC Rule, serving as a quick cross-reference tool.
The SEC said the annotated IRR is designed as a “living document” that will be updated regularly to reflect new issuances and amendments.
